Please review these terms and conditions which govern your use of our services and website.

These Terms and Conditions ("Terms") govern your access to and use of the Stormcloud cloud security operations platform ("Service") provided by Stormcloud Pty Ltd (ABN pending) ("Stormcloud", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Stormcloud is a cloud security operations platform that provides security event ingestion, AI-powered alert triage and investigation, threat detection, compliance monitoring, and incident response capabilities. The Service is provided on a software-as-a-service (SaaS) basis.

2. Account Registration and Access

To use the Service, you must register an account and be associated with a tenant organisation. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

3. Acceptable Use

You agree to use the Service only for:

  • Authorised security testing, monitoring, and operations within your organisation.
  • Legitimate security analysis and incident response activities.
  • Compliance monitoring and reporting for your own systems and networks.

You must not:

  • Use the Service to conduct unauthorised security testing against systems you do not own or have explicit permission to test.
  • Attempt to gain unauthorised access to other tenants' data or platform infrastructure.
  • Use the Service for any illegal activity or in violation of any applicable law.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell or sublicense access to the Service without our prior written consent.

4. Data Ownership

You retain full ownership of all data you submit to or generate through the Service ("Client Data"). We do not claim ownership of Client Data. We process Client Data solely to provide the Service and as described in our Privacy Policy. Upon termination, you may request export of your Client Data within the 30-day notice period.

5. Intellectual Property

The Service, including its software, design, documentation, and underlying technology, is owned by Stormcloud and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during the term of your subscription.

6. Service Level Agreement

Stormcloud targets 99.9% uptime availability for the Service, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance. In the event of unplanned downtime, we will use commercially reasonable efforts to restore service as promptly as possible and will provide status updates through our status page.

7. Limitation of Liability

To the maximum extent permitted by law, Stormcloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Stormcloud from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

Either party may terminate the Service agreement by providing 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms or engage in activity that threatens the security or integrity of the Service. Upon termination, your right to access the Service ceases, and we will delete your data in accordance with our Privacy Policy unless a longer retention period is required by law or requested by you.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of South Australia, Australia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of South Australia. Nothing in these Terms excludes or limits any consumer guarantees under the Australian Consumer Law that cannot be excluded or limited by law.
